1. Agreement to Terms

By accessing our website or engaging any of our services, you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you ("Client", "you", "your") and Redhill Entertainment LLC ("Company", "we", "us", "our"), a limited liability company registered in Wyoming.

If you do not agree to all of these Terms, you are expressly prohibited from using our services and must discontinue use immediately.

2. Description of Services

Redhill Entertainment LLC provides professional business services including, but not limited to:

  • Business consultation and strategic advisory services
  • Regulatory compliance support and guidance
  • Business documentation preparation and assistance
  • Digital growth solutions and business development services

The specific scope, deliverables, and timeline for any service engagement will be outlined in a separate Service Agreement or Statement of Work signed between the parties.

3. User Responsibilities

By using our services, you agree to:

  • Provide accurate, complete, and current information as required for the provision of services
  • Notify us promptly of any changes to the information you have provided
  • Use our services only for lawful purposes and in accordance with these Terms
  • Not use our services to engage in any fraudulent, deceptive, or illegal activities
  • Maintain the confidentiality of any proprietary information shared during service delivery
  • Cooperate fully and in good faith with our team throughout the service engagement

4. Payment Terms

Payment terms for our services are as follows:

  • All fees and payment schedules will be specified in the applicable Service Agreement or invoice
  • Payments are due by the date specified in the invoice or Service Agreement
  • Late payments may be subject to a late fee of 1.5% per month or the maximum rate permitted by law
  • All prices are listed in US Dollars (USD) unless otherwise specified
  • We reserve the right to suspend services for accounts with outstanding overdue balances
  • Applicable taxes, if any, are the responsibility of the client

5. Intellectual Property Rights

All content, materials, methodologies, processes, and deliverables created or provided by Redhill Entertainment LLC in connection with its services remain the intellectual property of the Company unless explicitly transferred in writing. Upon full payment, clients receive a non-exclusive license to use deliverables for their intended business purpose.

You may not reproduce, distribute, modify, create derivative works of, or publicly display any proprietary materials without our prior written consent.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the service engagement. This obligation shall survive the termination of any Service Agreement.

7. Disclaimer of Warranties

Our services are provided on an "as-is" and "as-available" basis without any warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or that results will be guaranteed. Business outcomes depend on many factors outside our control.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Redhill Entertainment LLC and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or in connection with:

  • Your use of or inability to use our services
  • Any content or advice provided as part of our services
  • Any third-party actions or omissions
  • Any unauthorized access to or use of our servers or data

In no event shall our total aggregate liability exceed the total amount paid by you to us for services in the three (3) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Redhill Entertainment LLC and its members, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your breach of these Terms, misuse of our services, or violation of any applicable law.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Sheridan County, Wyoming.

11. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Changes will be effective upon posting to our website. Your continued use of our services following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
